LODGEPOLE PASS MEMBER TERMS OF SERVICE & USER AGREEMENT

Please read this Member Terms of Service & User Agreement ("Agreement") carefully before purchasing a Lodgepole Pass ("Pass"). By checking the box indicating your agreement, or by accessing or using the services provided by Lodgepole Pass, LLC ("Lodgepole," "we," "us," or "our"), you ("Member" or "you") agree to be bound by this legally binding Agreement.

1. THE SERVICES & MEMBERSHIP MODEL

Lodgepole Pass operates a seasonal membership platform providing remote-working outdoor enthusiasts with mid-week hotel lodging access.

  • The Membership: Purchase of a Pass grants you the right to book up to your allocated number of mid-week room nights (Sunday through Thursday nights inclusive) at participating partner properties ("Partner Properties") during the designated Winter Season (December 1 through March 31, unless otherwise specified).

  • Inventory Allocation: Lodgepole secures a nightly inventory block of standard rooms at Partner Properties. All bookings are subject to availability on a first-come, first-served basis. Lodgepole does not guarantee that a specific Partner Property will have room availability on any specific date.

  • Non-Transferable: Passes and bookings are strictly personal and non-transferable. Only the registered Member whose name matches the purchase records may check into a Partner Property.

2. BOOKING POLICIES & THE 48-HOUR RELEASE

To maintain our partnership agreements with boutique hotels and prevent inventory waste, the following strict booking rules apply:

  • The 48-Hour Booking Cutoff: Members must reserve their rooms through the Lodgepole platform at least forty-eight (48) hours prior to the standard check-in time of the requested arrival date.

  • The 48-Hour Release: Any allocated inventory not reserved by Members forty-eight (48) hours prior to the check-in date is automatically released back to the Partner Property's public inventory. Lodgepole cannot secure bookings after this window has closed.

  • Cancellation & No-Show Policy: * Cancellations must be requested via the Lodgepole platform at least forty-eight (48) hours prior to the scheduled check-in time.

    • Late cancellations or "No-Shows" (failing to check into a confirmed booking) will result in that night being fully deducted from your seasonal Pass allotment.

    • Multiple No-Shows or late cancellations may result in the temporary suspension or termination of your membership without refund, at Lodgepole's sole discretion.

3. HOTEL RULES, INCIDENTALS, & MEMBER LIABILITY

Lodgepole acts strictly as a booking agent. When staying at a Partner Property, you are a guest of that property and must comply with all hotel rules, regulations, and policies.

  • Incidental Hold & Credit Card Requirement: Upon check-in, you must present a valid government-issued photo ID and a personal credit card in your name. The Partner Property will place a standard pre-authorization hold on your card to cover incidentals, damage, room service, or resort fees.

  • Direct Damage Liability: You are solely and personally liable for any physical damage, theft, or destruction of property caused by you or your guests in your assigned hotel room or on the hotel premises. Lodgepole assumes no liability for property damage or unpaid incidental charges incurred by Members.

  • Conduct and Ejection: Partner Properties reserve the right to refuse service or eject any Member who violates hotel policies, exhibits disruptive behavior, or causes damage. If you are ejected from a Partner Property, your booking will be canceled immediately, no refund will be provided, and your Lodgepole membership may be permanently revoked.

4. FEES, RENEWALS, & REFUNDS

  • All Sales Are Final: Due to the seasonal nature of the inventory we pre-purchase and underwrite, all Pass purchases are strictly non-refundable. No partial or full refunds will be issued if you fail to use your allocated nights, or if the winter season is cut short due to weather, snow conditions, or acts of God.

  • Chargebacks: By checking the agreement box, you explicitly agree not to initiate any chargebacks or payment disputes with your credit card issuer or Wells Fargo for the purchase of your Pass. Any disputes must be resolved directly through our customer support.

5. ESCROW FUNDING AND TRUST ACCOUNTS

To ensure the security of your purchase and guarantee our hotel commitments, Lodgepole utilizes a strict capital management protocol:

  • Pre-Funded Escrow: A designated portion of all Pass sales revenue is immediately deposited into a secure corporate escrow account held with Wells Fargo Bank. These funds are legally reserved and restricted solely for the monthly settlement of Member room nights via Virtual Credit Card (VCC) directly to Partner Properties, ensuring your room bookings are fully underwritten and guaranteed.

6. LIMITATION OF LIABILITY & INDEMNIFICATION

  • No Mountain Guarantees: Lodgepole makes no representations, guarantees, or warranties regarding weather conditions, snowfall levels, ski resort operations, or ski lift closures.

  • Limitation of Liability: To the maximum extent permitted by law, Lodgepole, its founders, and its affiliates shall not be liable for any indirect, incidental, special, exemplary, or consequential damages, including personal injury, property damage, or travel delays arising out of or in connection with your stay at any Partner Property. Our total aggregate liability under this agreement shall not exceed the total price paid for your Pass.

  • Indemnification: You agree to indemnify, defend, and hold harmless Lodgepole Pass, LLC and its officers, directors, and employees from any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of your stay at a Partner Property or your violation of this Agreement.

7. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of Arizona, without giving effect to any principles of conflicts of law. Any legal action arising under this Agreement must be brought exclusively in the state or federal courts located in Maricopa County, Arizona.

8. ACKNOWLEDGMENT & CONSENT

BY PURCHASING A LODGEPOLE PASS, YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT, UNDERSTAND IT, AND AGREE TO BE BOUND BY ITS TERMS. YOU ACKNOWLEDGE THAT YOU WILL BE REQUIRED TO PROVIDE A PERSONAL CREDIT CARD AT EACH HOTEL CHECK-IN FOR INCIDENTALS AND THAT YOU ARE PERSONALLY LIABLE FOR ANY DAMAGE TO HOTEL PROPERTY.
